N-central & RMM Referral Program Terms and Conditions

  1. Eligibility. The N-able N-central® & RMM Referral Program (the "Program") is open only to individuals who: (a) are legal residents of Canada, the United Kingdom, or the United States, (b) are at least the age of majority in the jurisdiction in which they reside, and (c) represent a business or other commercial entity in Canada, the United Kingdom, or the United States. The following individuals are not eligible to enter: (a) federal, provincial/territorial, state, or local government employees; (b) employees of N-able Canada ULC, N-able UK Ltd., and any of their affiliates, subsidiaries, or agencies; or (c) the immediate family (spouse, parents, siblings, and children) and household members of the employees mentioned in (b). The Program is subject to federal, provincial/territorial, state, and local laws and regulations and is void where prohibited.
  2. Agreement to Terms. These Terms and Conditions ("Terms") govern your participation in the Program, and it is your responsibility to read and understand the Terms. By participating in the Program, you represent and warrant that (a) you agree to and will comply with the Terms and (b) you are in compliance with, and will continue to comply with, any policies your employer may have regarding participation in this type of incentive program.
  3. How it Works. Click on the link in the email you received for the N-able Referral Program and make a referral with the name and business phone number of a colleague whose company is located in either Canada, the United Kingdom, or the United States and may be interested in becoming a N-able customer ("Prospect"). If the Prospect purchases N-central or activates thirty (30) RMM devices between April 29, 2020 and June 30, 2020, then you will receive a $500 Amazon® Gift Card with an approximate value of $500 USD. You are permitted to identify an unlimited number of Prospects to N-able; however, each Prospect you identify must: i) be a business person or other employee or representative of a company or other organization located in Canada, the United Kingdom, or the United States, and ii) have a role of function such that a message from N-able would be relevant to their employment, business or profession. You cannot refer yourself. Please only recommend Prospects that are not current or former N-able customers. Prospects that are current or former customers of N-able or are recorded as prospective customers in our records will not be deemed a legitimate referral. N-able, in its sole discretion, may decline a referral, or determine that it is not within the scope of these Terms, at any time.
  4. What You Can Get. Subject to compliance with these Terms, including without limitation, the restrictions set forth below:
    • If a Prospect purchases N-central or activates thirty (30) RMM devices between April 29, 2020 and June 30, 2020, you will receive a $500 Amazon Gift Card. Receipt of the Amazon Gift Card shall occur no later than July 31, 2020.

    N-able will be under no obligation to accept any Prospect as a N-able customer and may reject or decline to accept any Prospect as a N-able customer for any or no reason, at its sole discretion. You will not be eligible to receive the $500 Amazon Gift Card if: (a) you fail to follow the requirements set forth in these Terms; (b) the Prospect you refer is a former or current N-able customer; (c) a Prospect has previously been submitted to N-able by any third party; (d) N-able is already involved in discussions with the Prospect relating to the sale and/or purchase of N-able products; or (e) the Prospect is on a list of restricted or prohibited parties unable to participate in the Program, or unable to enter a customer relationship with N-able in compliance with any applicable law or regulation.

  5. Timing. The Program is currently scheduled to run from April 29, 2020 and June 30, 2020. N-able reserves the right to modify any of the Terms of the Program at any time, and without liability to you or another person. If the Terms change, N-able will post updates on the N-able website. You are responsible for remaining knowledgeable as to any changes that N-able may make to these Program Terms. The most current version of the Program Terms will be posted on the N-able website and will supersede all previous versions of the Program Terms. Your continued participation in the Program constitutes your acceptance of any changes made to these Program Terms.

  6. General Terms and Conditions. N-able reserves the right to discontinue the participation privileges of any person who engages in any fraudulent activity or uses the Program in a manner inconsistent with these Program Terms or any federal, provincial/territorial or state, or local laws, statutes, or ordinances. Discontinued participation privileges may result in the loss of any pending cash incentive. In addition to discontinuance of participation privileges, N-able shall have the right to take appropriate administrative and/or legal action, including seeking criminal prosecution, as it deems necessary in its sole discretion. Failure by N-able to enforce any term of these Terms shall not constitute a waiver of that provision.
  7. Disputes. Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of, or connected with, the Program or incentive provided shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Texas. By participating in this program, you represent and warrant that you have the authority to bind your business to the Terms. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms, your rights and obligations, or the rights and obligations of N-able in connection with the Program, shall be governed by, and construed in accordance with, the laws of Texas, without giving effect to any choice of law or conflict of law rules (whether of Texas or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Texas.
  8. Release and Limitation of Liability. By participating in the Program, you agree to release and hold harmless N-able, its parent, subsidiaries, affiliates, and each of their respective officers, directors, employees, and agents (the "Released Parties") from and against any and all liability, claim or cause of action arising out of participation in the Program or receipt or use/misuse of any incentive, including, but not limited to, (a) unauthorized human intervention in the Program, (b) technical errors, or (c) errors in the administration of the Program. In no event shall the Released Parties be liable for attorney's fees. You waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
